Terms of Service (End User License Agreement)

These terms are an agreement between you and ChapelCart LLC (“ChapelCart”, “we”, “us”) for using chapelcart.com and the ChapelCart platform (the “Service”). By creating an account or using the Service, you agree to them. If you use it for a business, you confirm you can agree for that business.

1. What ChapelCart is

ChapelCart provides software that lets funeral homes run memorial product stores and order products. Suppliers and engravers use it to fill those orders.

ChapelCart is a platform, not the seller. The funeral home sells to the families it serves and is responsible for its prices, its store and its dealings with those families. Suppliers are responsible for their products and shipping.

2. Accounts

• Accounts are for business users we approve.
• Keep your sign-in details private. You are responsible for activity on your account.
• Tell us at once if you think someone used it without permission.
• Information you give us must be accurate and kept up to date.

3. License

While you follow these terms, we give you a limited, non-exclusive, non-transferable right to use the Service for your business. You may not:

• copy, resell or reverse engineer the Service;
• access it by automated means we haven’t approved;
• interfere with its security or operation;
• use it for anything unlawful.

4. Your content

• Product details, logos, photos, engraving text, order details and other content you add stay yours.
• You give us permission to store, process and show that content as needed to run the Service, for example to show products, prepare engraving proofs and fill orders.
• You confirm you have the right to add it, including any photos or designs.

5. Orders, fees and billing

• Prices, fees and payment terms between ChapelCart, funeral homes, suppliers and engravers are set in separate agreements or shown in the Service.
• Bills between funeral homes, suppliers and engravers are their own obligations to each other.
• ChapelCart does not process card payments.

6. Connected services

The Service can connect to third-party services you choose, such as QuickBooks Online.

• Your use of those services is under their own terms.
• When you connect one, you authorize ChapelCart to access it only as described in our Privacy Policy.
• You can disconnect at any time.
• ChapelCart is not affiliated with or endorsed by Intuit or other providers. We are not responsible for their services.

7. Availability and changes

We work to keep the Service available, but it may be interrupted for maintenance or reasons outside our control. We may change or improve the Service. If a change takes away something important to you, we will try to give notice.

8. Ending use

• You may stop using the Service at any time.
• We may suspend or end access if these terms are broken, or to protect the Service or others.
• Sections that by their nature should continue (content permissions needed for past orders, disclaimers, limits of liability, governing law) survive.

9. Disclaimers

The Service is provided “as is” and “as available”. As far as the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. Engraving previews are close illustrations, not exact reproductions.

10. Limitation of liability

• As far as the law allows, ChapelCart is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
• Our total liability for any claim about the Service is limited to the greater of the fees you paid ChapelCart in the 12 months before the claim and $100.

11. Indemnity

You will defend and hold ChapelCart harmless from claims arising from:

• your content;
• your products or sales;
• your breach of these terms;
• your violation of law or of others’ rights.

12. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes go to the state or federal courts located in Florida, unless the law requires otherwise.

13. Changes to these terms

We may update these terms. We will post the new version here with its date and, for important changes, tell business users by email. Continuing to use the Service after a change means you accept it.
